To accomplish what you want to do, you will need three corporations: A holding company and two companies owned by the holding company. Often, these types of companies are organized as LLCs, but New York has a requirement that notice of a new LLC be published in a local paper. From prior experience in NYC, I can tell you that you could spend up to $1,000 to publish for each LLC. For that reason, I recommend you use corporations. New York's filing fee for a corporation is $200 each. I'm a long time attorney with substantial corporate and business experience. I set up corporations and LLCs all over the US. I would organize each of the three corporations, create bylaws and provide you with the required organizational resolutions. I would also obtain an employer identification number for each corporation which you will need to open an account at a bank. I would charge you a flat fee of $400 for these services. The total fee, including fees paid to the state for filing, would equal $1,000.
