Key points to be taken care of will be liability of sub contractor, indemnification by subcontractor, relation between parties to be of independent and not of employer/employee, confidentiality, non disclosure, dispute resolution etc. Rest, it would depend on the nature of activities/operations for which the agreement is to be drafted.
